MyRookies Terms of Service

Welcome to MyRookies. These Terms of Service ("Terms") govern your access to and use of the MyRookies platform, including our website, mobile application, and all related services (collectively, the "Platform"). By accessing or using MyRookies, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and MyRookies ("we," "us," or "our"), operated under the laws of India.

1. Acceptance of Terms

By creating an account or using any part of the Platform, you confirm that:

You are at least 18 years of age, or the age of majority in your jurisdiction.
You have read, understood, and agree to be bound by these Terms.
If you are using the Platform on behalf of an organisation, you have authority to bind that organisation to these Terms.

2. Permitted Use

2.1 What You May Do

You are permitted to:

Browse listings, create a profile, and interact with other users on the Platform.
Post listings, offers, or content in accordance with these Terms and any applicable community guidelines.
Communicate with other users for lawful marketplace-related purposes.
Use the Platform for personal, non-commercial, or lawful commercial purposes as intended by the Platform's features.

2.2 What You May Not Do

You agree not to:

Use the Platform for any unlawful, fraudulent, or deceptive purpose.
Post content that is defamatory, obscene, harassing, hateful, or infringes on the rights of others.
Impersonate another person, entity, or MyRookies itself.
Scrape, crawl, or use automated tools to extract data from the Platform without prior written consent.
Attempt to gain unauthorised access to any part of the Platform, user accounts, or our servers.
Use the Platform to distribute spam, malware, or unsolicited communications.
Engage in any activity that disrupts, damages, or impairs the functionality of the Platform.
Re-sell, sublicense, or commercialise access to the Platform without our written permission.

3. User Accounts

To access certain features, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration.
Maintain the confidentiality of your account credentials.
Notify us immediately at support@myrookies.com if you suspect any unauthorised use of your account.

You are solely responsible for all activity that occurs under your account. MyRookies is not liable for any loss arising from unauthorised use of your credentials.

4. User-Generated Content

4.1 Content You Post

The Platform allows users to post listings, reviews, messages, images, and other content ("User Content"). By submitting User Content, you confirm that:

You own the content or have the necessary rights and permissions to post it.
Your content does not violate any applicable law, third-party rights, or these Terms.
Your content is accurate, not misleading, and not fraudulent.

4.2 Licence to MyRookies

By posting User Content on the Platform, you grant MyRookies a non-exclusive, royalty-free, worldwide, transferable licence to use, display, reproduce, distribute, and moderate your content solely for the purpose of operating and improving the Platform. You retain ownership of your content.

4.3 Prohibited Content

You must not post content that:

Is illegal under Indian law or any other applicable law.
Promotes violence, discrimination, or hatred based on caste, religion, gender, race, or any other protected characteristic.
Contains sexually explicit, pornographic, or obscene material.
Infringes on any copyright, trademark, patent, or other intellectual property right.
Contains personal data of third parties without their consent.
Constitutes unsolicited advertising or spam.

4.4 Content Moderation

MyRookies reserves the right, but not the obligation, to review, monitor, remove, or refuse any User Content at our sole discretion and without prior notice, particularly if it violates these Terms or is otherwise objectionable.

5. Marketplace Transactions

MyRookies is a platform that facilitates connections between users. We are not a party to any transaction, agreement, or contract entered into between users. Accordingly:

We do not guarantee the quality, safety, accuracy, or legality of any listing or offer posted on the Platform.
We do not guarantee that a buyer will complete a purchase or that a seller will fulfil an order.
Any dispute arising from a transaction between users is solely between those users.

Users are encouraged to exercise due diligence before entering into any transaction on the Platform.

6. Intellectual Property

All content, trademarks, logos, software, and technology on the Platform (excluding User Content) are owned by or licensed to MyRookies. Nothing in these Terms grants you a right to use our intellectual property without prior written permission.

You agree not to copy, modify, reverse engineer, or create derivative works of any part of the Platform.

7. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. We comply with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 (as applicable).

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

MyRookies does not warrant that:

The Platform will be uninterrupted, error-free, or secure.
Any information on the Platform is accurate, complete, or up to date.
Defects in the Platform will be corrected.

9. Limitation of Liability

To the maximum extent permitted under applicable Indian law, MyRookies, its directors, employees, agents, and affiliates shall not be liable for any:

Indirect, incidental, special, consequential, or punitive damages.
Loss of profits, revenue, data, goodwill, or business opportunities.
Damages arising from your use of, or inability to use, the Platform.
Unauthorized access to or alteration of your data or transmissions.
Any errors, inaccuracies, or omissions in User Content posted on the Platform.

In no event shall our total liability to you exceed the amount paid by you (if any) to MyRookies in the twelve (12) months preceding the event giving rise to the claim, or INR 1,000, whichever is lower.

10. Indemnification

You agree to indemnify, defend, and hold harmless MyRookies and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

Your use of or access to the Platform.
Your User Content.
Your violation of these Terms or any applicable law.
Your violation of any third-party rights.

11. Account Termination and Suspension

MyRookies reserves the right, at its sole discretion, to:

Suspend or terminate your account and access to the Platform at any time, with or without notice, for conduct that violates these Terms, applicable law, or is otherwise harmful to users, third parties, or MyRookies.
Remove any User Content that violates these Terms.
Take any other legal or technical action we deem appropriate.

Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so, including Sections 4.2, 6, 8, 9, 10, and 12.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

12.2 Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Platform, the parties shall first attempt to resolve the matter through good-faith negotiation.

12.3 Arbitration

If the dispute is not resolved through negotiation within 30 days, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted:

By a sole arbitrator mutually appointed by the parties.
In the English language.
At a venue in India, as agreed between the parties or determined by the arbitrator.

The arbitrator's decision shall be final and binding on both parties.

12.4 Jurisdiction for Interim Relief

Notwithstanding the above, either party may seek interim or injunctive relief from a court of competent jurisdiction. The courts of India shall have exclusive jurisdiction for any such relief.

13. Modifications to These Terms

MyRookies reserves the right to update or modify these Terms at any time. We will notify you of material changes by:

Posting the updated Terms on the Platform with a revised "Effective Date."
Sending a notification to the email address associated with your account (where reasonably practicable).

Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Platform and close your account.

14. Third-Party Links and Services

The Platform may contain links to third-party websites or integrate third-party services. These links are provided for convenience only. MyRookies does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services. Your use of any third-party service is at your own risk.

15. Force Majeure

MyRookies shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government action, internet outages, natural disasters, or power failures.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines incorporated by reference, constitute the entire agreement between you and MyRookies with respect to your use of the Platform and supersede all prior agreements or understandings.
